NOTICE OF PUBLIC HEARING Notice is hereby given that a public hearing will be held by the Board of County Commissioners of the County of Butler, Ohio (the "County") on Monday, March 16, 2020 at or about 9:30AM in the County Commissioners' Hearing Room, 315 High Street, Floor 2, Hamilton, Ohio as a joint undertaking with Allen County, Ohio, to discuss the possible issuance by the County of Allen, Ohio (the "Issuer"), for itself and in cooperation with certain counties including the County, of its County of Allen, Ohio Hospital Facilities Revenue Bonds, Series 2020 (Bon Secours Mercy Health, Inc.), in one or more series (the "Series 2020 Bonds"), pursuant to Chapter 140, Ohio Revised Code (the "Act"). It is anticipated that the proceeds of the Series 2020 Bonds will be made available to Bon Secours Mercy Health, Inc. (the "Corporation"), a nonprofit corporation organized and existing under the laws of the State of Maryland, and certain of its non-profit affiliates. The Series 2020 Bonds will be issued as qualified 501(c)(3) as defined in Section 145 of the Internal Revenue Code of 1986, as amended, to (i) finance additional "Hospital Facilities" as defined in Section 140.01 of the Ohio Revised Code anticipated to be located at the following locations in the County: (A) 2960, 2990, 3000 and 3050 Mack Road, Fairfield, known as Mercy Hospital Fairfield/Fairfield MOB/Mercy HealthPlex Fairfield, River Front Pharmacy, (B) 5150 Sandy Lane, Fairfield, Ohio known as Fairfield Internal Medicine & Rheumatology, (C) 741 Wessel Drive, known as Fairfield Family Medicine, (D) 421 S. Locust St., Suites 103 & 104, Oxford, known as MH Fairfield Hospital Rehabilitation, (E) 270 Locust St., Oxford, known as MHP-Wellington Orthopaedics, (F) 8731-8746 Union Centre Blvd known as MHP Physician Office Orthopaedic & Sports Medicine, (G) 8859 Brookside Court, known as West Chester Family Medicine, (H) 6770 Cincinnati Dayton Rd, known as Mercy Health Center Liberty Falls, (I) 20 North Sixth Street, units 1-8, Hamilton, known as St. Raphael's Emergency Shelter, (J) 604 & 606 High Street, Hamilton, known as Mercy Health - St Raphael Rectory and Garage, (K) 610 High Street, Hamilton, known as Mercy Health - St. Raphael, (L) 870 NW Washington Blvd, Suite D, Hamilton, known as Mercy Heart Institute Physician Office, and (M) 9582 Princeton-Glendale Road, Hamilton (each, a "project" and collectively, the "projects"), the initial legal owner or principal user of each project being Mercy Health Cincinnati LLC, Mercy Health Fairfield Hospital LLC, Mercy Health West Hospital LLC, or Mercy Health Physicians Cincinnati LLC, each an Ohio non-profit limited liability company, or the Corporation, or a related party thereof; (ii) refund all or a portion of the following bonds whose proceeds were utilized to finance or refinance Hospital Facilities at the projects: (A) County of Allen, Ohio Adjustable Rate Hospital Facilities Revenue Bonds, Series 2008 (Catholic Healthcare Partners), which are made up of multiple series of bonds, and (B) County of Allen, Ohio Adjustable Rate Hospital Facilities Revenue Bonds, Series 2015B (Mercy Health); and (iii) finance certain costs associated with the issuance of the Series 2020 Bonds. The Corporation and its non-profit affiliates operate a healthcare system on several campus sites. The projects are and will be used by the Corporation in an integrated operation for the delivery of healthcare, education, scientific research and administrative activities supporting those activities on several campuses. Not more than $75,000,000 of the stated principal amount of the Series 2020 Bonds will be spent at the projects in the aggregate, and not more than $60,000,000 of the stated principal amount of the Series 2020 Bonds will be spent at any one project listed in this notice. The aggregate principal amount of the Series 2020 Bonds will not exceed $525,000,000. THE SERIES 2020 BONDS SHALL NOT REPRESENT OR CONSTITUTE A DEBT OR PLEDGE OF THE FAITH AND CREDIT OR THE TAXING POWER OF THE COUNTY OF BUTLER, THE ISSUER OR ANY OTHER POLITICAL SUBDIVISION OF THE STATE OF OHIO. Interested persons are invited to attend this public hearing and will be given an opportunity to express their views concerning the proposed issuance of the Series 2020 Bonds.
