Notice of PASSAGE OF A RESOLUTION DESCRIBING THE BOUNDARIES OF A COMMUNITY REINVESTMENT AREA IN CLARK COUNTY, OHIO PURSUANT TO OHIO REVISED CODE SECTION 3735.66 The Commissioners (the "Commissioners") of Clark County, Ohio (the "County") passed Resolution No. 2026-0641 on August 12, 2026 (the "CRA Resolution") otherwise describing the boundaries of the Green Township Community Reinvestment Area in the County. This notice is being published in a newspaper of general circulation in the County, together with a copy of the body of the CRA Resolution, once each week for two (2) consecutive weeks pursuant to Ohio Revised Code Section 3735.66. WHEREAS, the Board of Commissioners of the County of Clark, Ohio (the "Board", and such County being the "County") has encouraged the development of commercial and industrial structures within its boundaries, which development would result in the creation and retention of employment opportunities in the County; and WHEREAS, Ohio Revised Code (the "R.C.") Sections 3735.65 through 3735.70, including its related rules and laws and as such provisions may be amended, supplemented, or superseded from time to time (the "CRA Act"), provide that the County may grant certain exemptions from real property taxation with respect to new construction or remodeling efforts within an area designated by the Board as a Community Reinvestment Area ("CRA"); and, WHEREAS, this Board further desires to determine that housing facilities or structures of historical significance are located, and new construction or repair of existing facilities has been previously discouraged in, the area comprising the Green Township Community Reinvestment Area (as defined herein), all pursuant to a Housing Survey (as defined herein) conducted by the County; and, WHEREAS, this Board now desires to define the boundaries of a new Green Township Community Reinvestment Area authorized by the County within Green Township, as described pursuant to Exhibit A attached hereto and incorporated herein (the "Green Township Community Reinvestment Area"); and, WHEREAS, the remodeling of existing structures and the construction of new structures within the Green Township Community Reinvestment Area will serve to encourage economic stability, maintain real property values, and generate new employment opportunities, and further constitutes a public purpose for which the County may grant real property tax exemptions; and, WHEREAS, this Board now desires to describe the boundaries of the Green Township Community Reinvestment Area and establish the terms by which the County may authorize certain exemptions from real property taxation. NOW, THEREFORE, BE IT RESOLVED by the Board of Commissioners of the County of Clark, Ohio, that: Section 1. Pursuant to the Housing Survey conducted by the County attached hereto as Exhibit B and included herein by reference (the "Housing Survey"), this Board adopts the Housing Survey as an accurate survey of the housing within the applicable portion of the unincorporated area of the County and finds and determines that the Green Township Community Reinvestment Area, described by Exhibit A attached hereto and incorporated herein by reference, constitutes an area in which housing facilities or structures of historical significance are located and in which new construction or repair of existing facilities has been discouraged. Section 2. Pursuant to R.C. Section 3735.66, this Board hereby establishes the "Green Township Community Reinvestment Area," the boundaries of which are described by Exhibit A attached hereto and incorporated herein. The Clerk of this Board shall retain on file a copy of Exhibit A, as may be amended from time to time. Section 3. Pursuant to R.C. Section 3735.66, the Chairperson of the Board of Commissioners of the County of Clark, Ohio, or in the absence thereof the Chairperson of the Board of Commissioners of the County of Clark, Ohio, its designee from time to time, is designated as the "Housing Officer" with respect to the Green Township Community Reinvestment Area and shall be responsible for administering and implementing the provisions of this Resolution and the CRA Act. Section 4. Within the Green Township Community Reinvestment Area, and except as provided in Section 6 with respect to Megaprojects, the percentage of the tax exemption on the increase in the assessed valuation resulting from improvements to commercial and industrial real property and the term of those exemptions shall be negotiated on a case-by-case basis in advance of construction or remodeling occurring pursuant to R.C. Section 3735.67. The maximum term and exemption percentage for commercial and/or industrial projects (together, the "CRA Exemptions") is as follows: a. Up to, and including, fifteen (15) years, and up to, and including, One Hundred Percent (100%) for the remodeling of existing commercial and industrial facilities and upon which the cost of remodeling is at least $5,000, as described in R.C. Section 3735.67, the final term and percentage of which shall be negotiated on a case-by-case basis in advance of remodeling occurring. b. Up to, and including, fifteen (15) years, and up to, and including, one hundred percent (100%) for the construction of new commercial or industrial facilities, the final term and percentage of which shall be negotiated on a case-by-case basis in advance of construction occurring. Section 5. With respect to the remodeling or new construction of a structure or structures described in Section 4 to be used for commercial or industrial purposes, the owner of the real property and the County must enter into a written agreement prior to the commencement of remodeling or new construction pursuant to R.C. Section 3735.671 (the "CRA Agreement"). Prior to entering into any CRA Agreement pursuant to R.C. Section 3735.671, however, the owner of the structure or structures to be used for commercial or industrial purposes shall file a proper CRA Application (the form of which shall be on file with the Community and Economic Development Office) with the Housing Officer. No later than upon receipt by the Housing Officer of a properly filed CRA Application, the owner and the County shall negotiate the final term and percentage of the CRA Exemption, which shall be negotiated on a case-by-case basis. The County shall obtain Board approval of any CRA Agreement prior to the County's execution pursuant to R.C. Section 3735.671. No CRA Agreement shall be offered within the non-JEDD portions of the Green Township Community Reinvestment Area without an additional resolution of this Board, and a resolution by the Board of Trustees of Green Township, Clark County, Ohio, authorizing such CRA Agreement. Section 6. Notwithstanding the term and percentage limitations set forth in Section 4, and pursuant to R.C. Section 3735.67(D)(2)(a) and related laws and successor provisions of law, for the new construction of facilities within the Clark County Community Reinvestment Area that constitute a "megaproject" (as defined in R.C. Section 122.17) (a "Megaproject"), the Commissioners may authorize a tax exemption of up to, and including, thirty (30) years, and up to, and including, One Hundred Percent (100%), of the amount by which the new construction increases the assessed value of the structure or structures (a "Megaproject CRA Exemption"). The final term and percentage of any such Megaproject CRA Exemption shall be negotiated on a case-by-case basis in advance of construction, on terms acceptable to the Commissioners in their sole discretion, and shall be memorialized in a CRA Agreement entered into in accordance with Section 5. The Commissioners may authorize any such Megaproject CRA Exemption in a CRA Agreement pending or conditioned upon designation of facilities exempted by such CRA Agreement as a Megaproject by the Ohio Tax Credit Authority. The owner shall be responsible for satisfying, and providing evidence to the County of, all requirements necessary to qualify the project as a Megaproject under R.C. Section 122.17 and the CRA Act. Section 7. The additional conditions enumerated in this Section 7 shall apply with respect to CRA Exemptions granted by the Board within the Green Township Community Reinvestment Area. (a) All owners of real property shall pay all real estate taxes not subject to a CRA Exemption pursuant to this Resolution when due. In the event that an owner fails to pay all real estate taxes not subject to a CRA Exemption pursuant to this Resolution when due, and any such taxes remain delinquent for a period of more than twelve (12) months, the owner must provide evidence to the Housing Officer that the Clark County Treasurer's Office has approved a payment arrangement with respect to such delinquent real estate taxes. If real estate taxes remain delinquent for a period of more than twelve (12) months and the owner cannot provide evidence of a payment arrangement or the owner defaults in making payments under a payment arrangement with the Clark County Treasurer's Office, the Housing Officer may deny any CRA Application or revoke any CRA Exemption pursuant to the terms and procedures of Sections 8 and 10 hereof. (b) All structures subject to a CRA Exemption shall comply with all applicable County planning and engineering codes, as the same may be amended from time to time. The Housing Officer may deny any CRA Application with respect to a structure in violation of any applicable County planning and zoning codes where construction or remodeling would not otherwise remedy such violation. Additionally, the Housing Officer may revoke any CRA Exemption where violations of County planning and engineering codes with respect to a structure or structures have existed for a period in excess of six (6) months from the date of notice of any violation of the same. Section 8. The Housing Officer, or the Housing Officer's designee, shall make annual inspections of the real property within the Green Township Community Reinvestment Area for which the County has granted CRA Exemptions pursuant to this Resolution and R.C. Section 3735.67. If the Housing Officer finds that real property for which the County has granted a CRA Exemption has not been properly maintained or repaired due to the neglect of the owner of such real property, the Housing Officer may revoke the applicable CRA Exemption at any time after the first year of the CRA Exemption. If the owner of commercial or industrial property subject to a CRA Exemption has materially failed to fulfill its obligations under the CRA Agreement, or if the owner is determined to have violated R.C. Section 3735.671(C), the Board, subject to the terms of the CRA Agreement, may revoke the exemption at any time after the first year of CRA Exemption. In the event the Housing Officer revokes the CRA Exemption as permitted hereunder and pursuant to R.C. Section 3735.68, the Housing Officer shall notify the Clark County Auditor and the owner of the real property that the CRA Exemption no longer applies and shall provide a report of such revocation to the Tax Incentive Review Council (defined in Section 10 hereof) and the applicable property owner. The report shall specify the findings as to the reason for revoking the CRA Exemption. Section 9. That a Housing Council with respect to the Green Township Community Reinvestment Area (the "Housing Council") is hereby established as required by R.C. 3735.69. The membership of the Housing Council shall include: one (1) member appointed by each member of the Board and two (2) members appointed by the Clark County Planning Commission. The majority of the foregoing shall then appoint two additional members who shall be residents of the county. Terms of the members of the Housing Council shall be for three (3) years. An unexpired term resulting from a vacancy on the Housing Council shall be filled in the same manner as the initial appointment was made. The Housing Council shall make an annual inspection of the real property within the Green Township Community Reinvestment Area for which the County has granted a CRA Exemption pursuant to R.C. Section 3735.67 and this Resolution. The Housing Council shall also hear appeals pursuant to R.C. Section 3735.70. Section 10. That the Clark County Tax Incentive Review Council (the "TIRC"), or other applicable TIRC having jurisdiction within the County, has been established and shall serve as the TIRC with respect to the Green Township Community Reinvestment Area. The TIRC shall annually review the compliance of all CRA Agreements entered into by the County with respect to CRA Exemptions granted pursuant to R.C. Section 3735.671 and shall make written recommendation to this Board as to the continuation, modification, or termination, of any such CRA Agreement. Section 11. An annual monitoring fee shall apply to any CRA Exemption authorized by the County with respect to a structure or structures to be used for commercial or industrial purposes. The annual monitoring fee shall be due at the execution of any CRA Agreement entered into pursuant to ORC Section 3735.671 and on each anniversary of the execution of such CRA Agreement during the term of the applicable CRA Exemption. The annual monitoring fee shall be determined by the Chairperson of the Board of Commissioners of the County of Clark, Ohio and shall be included as a required provision in each CRA Agreement, unless otherwise waived by the Chairperson of the Board of Commissioners of the County of Clark, Ohio in the Chairperson of the Board of Commissioners of the County of Clark, Ohio sole discretion. Section 12. Pursuant to R.C. Section 3735.66, this Board hereby authorizes and directs any of the Commissioners, the Clerk of this Board and their designees to send a copy of this Resolution and a map of the Green Township Community Reinvestment Area sufficient in detail to denote the specific boundaries of the Green Township Community Reinvestment Area to the Director of the Ohio Department of Development. The Housing Officer shall not authorize any CRA Exemption pursuant to this Resolution until the Director of the Ohio Department of Development assigns a unique designation number identifying the Green Township Community Reinvestment Area. In order to satisfy the requirements of R.C. Section 3735.672, the Housing Officer, or the Housing Officer's designees, are further authorized and directed to submit one (1) or more annual reports, together with all executed agreements, certificates, and other documents as the Housing Officer shall deem necessary, to the Director of the Ohio Department of Development on or before March 31st of each year that the County has an active CRA Agreement with an owner of real property pursuant to this Resolution and R.C. Section 3735.671. This Board reserves the right, in its sole discretion, to re-evaluate the designation of the Clark Community Reinvestment Area as a CRA, and the CRA Exemptions authorized pursuant to the authority of this Resolution, from time to time. Section 13. Pursuant to R.C. Section 3735.66, the Clerk of this Board or their designee, is further hereby authorized and directed to publish this Resolution once a week for two (2) consecutive weeks in a newspaper of general circulation in the County, which shall otherwise indicate that this Board has adopted this Resolution and established the Green Township Community Reinvestment Area. Section 14. Any abatement contemplated within this CRA shall require approval, and a compensation agreement, with the affected Board of Township Trustees if the proposal exceeds a Seventy-Five Percent (75%) abatement or exceeds ten (10) years. Section 15. In accordance with R.C. Section 5709.832, the County hereby determines that no recipient of a CRA Exemption pursuant to this Resolution shall deny employment to any individual based on considerations of race, religion, sex, disability, color, national origin, or ancestry. Section 16. This Board finds and determines that all formal actions of this Board and any of its committees concerning and relating to the passage of this Resolution were taken in an open meeting of this Board, and that all deliberations of this Board and any of its committees that resulted in those formal actions were in meetings open to the public, all in compliance with the law including R.C. Section 121.22. Section 17. This Resolution shall take effect and be in effect from and after the earliest period permitted by law. 8-17,8-24/2026
