NOTICE OF PUBLIC HEARING Notice is hereby given that on Wednesday, September 2, 2026, a public hearing, which may be continued or adjourned, will be held via toll-free telephone conference and in-person at the offices of the Board of County Commissioners of the County of Warren, Ohio, 406 Justice Drive, First Floor, Room 128, Lebanon, Ohio 45036, commencing at 2:00 p.m. local time with respect to the proposed issuance by the County of Warren, Ohio (the "Issuer") of Healthcare Facilities Improvement and Refunding Revenue Bonds, Series 2026 (Otterbein Homes Obligated Group) as a part of a plan of finance in one or more series which may be issued on the same or different dates in a maximum aggregate face amount not to exceed $300,000,000 (the "Series 2026 Bonds"). The hearing will be a joint hearing for the Issuer and the Counties of Auglaize, Cuyahoga, Licking, Lucas and Trumbull, Ohio. The Series 2026 Bonds will be issued pursuant to Chapter 140 and sections 9.98 through 9.983 of the Ohio Revised Code (collectively, the "Act"), for the benefit of Otterbein Homes, an Ohio nonprofit corporation, its subsidiaries of which it is the sole member and other affiliated entities (collectively, "Otterbein"). The Series 2026 Bonds will be issued as qualified 501(c)(3) bonds under Section 145 of the Internal Revenue Code of 1986, as amended, and the proceeds of the Series 2026 Bonds will be used for (i) paying the costs of the New Money Project described below in a maximum amount not to exceed $200,000,000; (ii) retiring all or a portion of: (a) the outstanding Master Term Note dated April 1, 2025 in the principal sum of $15,000,000.00 issued by the Otterbein to Fifth Third Bank, National Association, as Lender ("Series 2025B Master Term Note"); (b) the outstanding $50,000,000 County of Warren, Ohio, Healthcare Facilities Improvement Revenue Bonds, Series 2025 (Otterbein Homes Obligated Group) ("Series 2025 Bonds"); and (c) the outstanding Master Term Note dated December 1, 2025 in the principal sum of $22,500,000.00 issued by the Otterbein to Fifth Third Bank, National Association, as Lender ("Series 2025C Master Term Note", and together with the Series 2025B Master Term Note and the Series 2025 Bonds, collectively, the "Prior Obligations"); the proceeds of such Prior Obligations were used to finance the costs of the Existing Project described below; (iii) reimbursing Otterbein for additional costs associated with the New Money Project; (iv) establishing one or more debt service reserve funds as additional security for the Series 2026 Bonds, if deemed necessary or desirable by Otterbein; (v) paying capitalized interest on the Series 2026 Bonds, if any; and (vi) paying certain costs of issuance of the Series 2026 Bonds (collectively, the "Project"). New Money Project: The New Money Project consists of the acquisition, construction, furnishing and equipping of the following hospital facilities (as defined in the Act, "Hospital Facilities"): (i) maximum principal amount of $40,000,000 at 2158 Columbus Rd, Granville, Ohio; (ii) maximum principal amount of $60,000,000 at 585 OH-741, Lebanon, Ohio; (iii) maximum principal amount of $30,000,000 at 11230 OH-364, St. Marys, Ohio; and (iv) maximum principal amount of $70,000,000 at 9640 Sylvania-Metamora Rd, Sylvania, Ohio. Existing Project: The Existing Project consists of the acquisition, construction, and improvement of Hospital Facilities located at: (i) 30344 Lorain Road, North Olmsted, Ohio, (ii) 303 N. Mecca St., Cortland, Ohio, (iii) 2158 Columbus Rd, Granville, Ohio, (iv) 585 OH-741, Lebanon, Ohio, and (v) 9640 Sylvania-Metamora Rd, Sylvania, Ohio. With respect to the Hospital Facilities, the maximum aggregate principal amount of Series 2026 Bond proceeds attributable to each of the above-referenced sites is $300,000,000; the actual amount allocable to each such site may be less than this amount, but in no event will the aggregate amount of the Bonds allocable to the sites identified under (i) through (iv) of the New Money Project exceed $200,000,000 and (i) through (v) of the Existing Project exceed $100,000,000. The initial legal owner or principal user of the Hospital Facilities financed by the Series 2026 Bonds is, or upon completion of acquisition or construction shall be, Otterbein or a subsidiary or affiliate of Otterbein that is controlled by Otterbein. The Series 2026 Bonds will be special obligations of the Issuer and will not constitute a debt or pledge of the faith and credit or the taxing power of the Issuer.
