NOTICE OF PUBLIC HEARING Notice is hereby given that a public hearing will be held on behalf of the Dayton-Montgomery County Port Authority (the "Issuer") and Montgomery County, Ohio on September 9, 2026 at 10:00 a.m., in the offices of the Issuer at 8 North Main Street, Dayton, Ohio 45402, with respect to the proposed issuance by the Issuer of one or more series of its revenue bonds in an aggregate principal amount not to exceed $220,000,000 (the "Bonds"). The Bonds are expected to be issued pursuant to Chapter 4582 of the Ohio Revised Code as qualified 501(c)(3) bonds within the meaning of Section 145 of the Internal Revenue Code of 1986, as amended (the "Code"), and the proceeds of the Bonds will be loaned to Flyland Holdings LLC (the "Borrower"), a Wisconsin limited liability company and a disregarded entity of Stepstone Health Foundation, a Delaware nonprofit corporation and an organization described in Section 501(c)(3) of the Code, for the purpose of (i) paying or reimbursing the Borrower and/or Flyland Recovery Network, LLC ("FRN"), the costs of acquiring, directly or indirectly through the acquisition of a membership interest in Behavioral Health Services of Dayton, LLC ("BHS"), of Skylight Recovery Center, an inpatient substance use disorder and behavioral health facility located at 8130 Millers Farm Ln, Dayton, Ohio 45458 (the "Project"); (ii) funding one or more debt service reserve funds for the benefit of the Bonds, if deemed necessary or desirable by Issuer or the Borrower; (iii) funding interest accruing on the Bonds, if deemed necessary or desirable by Issuer or the Borrower; and (iv) paying certain expenses incurred in connection with the issuance of the Bonds, including the cost of any bond insurance or other credit or liquidity enhancement, if any. The Project will be owned or principally used by one or more of the Borrower, BHS or FRN. THE BONDS SHALL NOT REPRESENT OR CONSTITUTE A DEBT OR PLEDGE OF THE FAITH AND CREDIT OF THE COUNTY, THE ISSUER, THE STATE OF OHIO, OR ANY POLITICAL SUBDIVISION OF THE STATE OF OHIO. All property financed by proceeds of the Bonds will constitute "port authority facilities" as defined in Ohio Revised Code Section 4582.21. Interested persons are invited to attend this public hearing and will be given a reasonable opportunity to express their views concerning the proposed issuance of the Bonds and the Project to be financed thereby.
